SHAREHOLDERS' MEETING

The Shareholders' Meeting of Unieuro S.p.A. represents the fundamental moment of meeting and dialogue between the company and its shareholders, playing a crucial role in corporate governance. Endowed with the powers envisaged by the law and the Articles of Association, the Shareholders' Meeting is called upon to deliberate on issues of fundamental importance such as the appointment and dismissal of the members of the Board of Directors and the Board of Statutory Auditors, the definition of their remuneration, the approval of the financial statements and the allocation of profits, as well as on the powers to be granted to the Board regarding any purchases and sales of treasury shares. The Shareholders' Meeting is also in charge of resolving on amendments to the Articles of Association, the issuance of shares or convertible bonds, as well as approving the remuneration policy for members of the management and control bodies, general managers and managers with strategic responsibilities (Remuneration).

In accordance with best governance practices, the Board of Directors is committed to providing shareholders with all the information necessary to ensure informed and knowledgeable participation in the decisions of the Shareholders' Meeting.

Shareholders‘ Meetings are convened at least once a year and represent an essential opportunity for shareholders to exercise their decision-making rights and to oversee the company's management, thus ensuring maximum alignment between shareholders’ interests and the company's strategic objectives.

SHAREHOLDERS' MEETING REGULATIONS

The Rules for Shareholders‘ Meetings regulate the orderly and functional proceedings of Shareholders’ Meetings and respect for the fundamental right of each shareholder to request clarification on the various topics under discussion, to express their opinion and to make proposals. The latest changes to the Rules of Procedure were adopted by the Shareholders' Meeting of 22 June 2023.
